Terms of Service

1. Acceptance of Terms

By accessing or using Traidly ("Service", "we", "us", or "our"), including the Traidly browser extension, web application, and any related services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

Traidly is a software tool that provides position sizing calculators, visual risk management overlays, trade journaling, and related productivity features for futures traders. Traidly is an independent third-party tool and is not affiliated with, endorsed by, or sponsored by TradingView, Tradovate, or any broker, exchange, or financial institution.

Trading futures, options on futures, foreign exchange, and other leveraged products involves substantial risk of loss and is not suitable for all investors. You may lose all or more than your initial investment. Only risk capital — money you can afford to lose without affecting your financial security or lifestyle — should be used for trading. Past performance is not necessarily indicative of future results.

5. User Responsibility

You acknowledge and agree that:

• You are solely responsible for all trading decisions made through or in connection with the Service.
• You are responsible for verifying every order before submission to your broker.
• You are responsible for compliance with the terms of service of any third-party platform you use Traidly with, including but not limited to TradingView and your broker.
• You are responsible for your own compliance with applicable laws and regulations in your jurisdiction.
• You will not use the Service for any unlawful purpose.

6. Subscription and Billing

Traidly offers paid subscription plans. By subscribing, you authorize us to charge your payment method on a recurring basis. Subscriptions automatically renew unless canceled before the end of the current billing period. You may cancel your subscription at any time through your account settings.

A 7-day free trial is offered to new users. No credit card is required to start the trial. If you do not subscribe to a paid plan after the trial, your access will be limited.

7. Refunds

Subscription fees are non-refundable except where required by law. EU consumers may have a 14-day right of withdrawal under the Consumer Rights Directive, which is waived upon use of the digital service.

8. Intellectual Property

All content, features, and functionality of the Service, including but not limited to text, graphics, logos, icons, images, software, and code, are the exclusive property of Traidly and are protected by international copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, lease, reverse engineer, or decompile any part of the Service.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

Traidly does not warrant that: (a) the Service will be uninterrupted, secure, or error-free; (b) the results obtained from the Service will be accurate or reliable; (c) any errors in the Service will be corrected; (d) any orders will be received, accepted, executed, or filled at any particular price by your broker.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TRAIDLY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, TRADING LOSSES, MISSED OPPORTUNITIES, SLIPPAGE, BROKER DOWNTIME, INTERNET OUTAGES, OR ANY OTHER LOSSES ARISING FROM YOUR USE OF THE SERVICE.

Our total liability to you for any claims arising out of or relating to the Service shall not exceed the greater of (a) the amount you paid to Traidly in the three (3) months preceding the claim, or (b) one hundred US dollars ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless Traidly and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of the Service or violation of these Terms.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email or in-app notification. Continued use of the Service after such changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Traidly is established, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved through binding arbitration, except where prohibited by applicable consumer law.

15. Geographic Restrictions

The Service is not available to users in jurisdictions subject to comprehensive U.S. sanctions, including but not limited to Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine. By using the Service, you represent and warrant that you are not located in any such jurisdiction.
